If you formed an LLC in the last two years, you heard about the BOI report — FinCEN's Beneficial Ownership Information filing, with thousands of dollars in penalties for missing it. It came, it was enjoined, it came back, it was suspended again. Nobody could keep up.

It's over. On August 14, 2026, FinCEN's final rule took effect, permanently removing the requirement for U.S. companies and U.S. persons. In FinCEN's own words: «U.S. companies are exempt from the Beneficial Ownership Information (BOI) reporting requirements.»

There's more: FinCEN will delete from its database the information U.S. persons already reported.

Who still has to file?

Only foreign entities formed under another country's law and registered to do business in the United States. If your LLC was formed in Texas, that isn't you.

What worries us

There are still filing services charging to submit a report that no longer exists. If someone calls you, sends you an official-looking email, or gives you a BOI deadline, don't pay. FinCEN will never call you on the phone.

What you do still owe this year

If your business is in Texas: keeping your franchise tax Public Information Report current, even when your revenue is far below the $2,650,000 threshold and you owe zero tax. The "No Tax Due Report" was eliminated starting with 2024 reports, but the Public Information Report (form 05-102) or Ownership Information Report (05-167) is still required. Skipping it can cost your company its good standing.

Si en los últimos dos años abriste una LLC, seguro escuchaste del reporte BOI — el Beneficial Ownership Information de FinCEN, con multas de miles de dólares por no presentarlo. Apareció, se suspendió, volvió, se suspendió otra vez. Nadie entendía nada.

Se acabó. El 14 de agosto de 2026 entró en vigor la regla final de FinCEN que elimina de forma permanente la obligación para las empresas y las personas de Estados Unidos. En palabras de FinCEN: «U.S. companies are exempt from the Beneficial Ownership Information (BOI) reporting requirements.»

Y hay más: FinCEN va a borrar de su base de datos la información que las personas de EE.UU. ya habían reportado.

¿Quién sí sigue obligado?

Solo las entidades extranjeras constituidas bajo ley de otro país y registradas para hacer negocios en Estados Unidos. Si tu LLC se formó en Texas, no estás en ese grupo.

Lo que nos preocupa

Todavía hay despachos y «gestores» cobrando por presentar un reporte que ya no existe. Si alguien te llama, te manda un correo con aspecto oficial o te pone una fecha límite para el BOI, no le pagues. Nadie de FinCEN te va a llamar por teléfono.

Qué sí tienes que hacer este año

Si tu negocio está en Texas: mantener al día el Public Information Report de la franchise tax, aunque tu ingreso esté muy por debajo del umbral de $2.650.000 y no pagues ni un dólar de impuesto. Desde los reportes de 2024 el «No Tax Due Report» desapareció, pero el Public Information Report (formulario 05-102) o el Ownership Information Report (05-167) siguen siendo obligatorios. No presentarlo puede costarte el buen estado de tu empresa.
